General Terms and Conditions (GTC) of Sciola Import SARL.
1. Validity
Sciola Import SARL is registered in the Commercial Register under number CHE-254.286.459.
All our services are subject in their entirety to these General Terms and Conditions, unless otherwise agreed in writing to supplement or amend them.
2. Contract formation
The contract between the private customer and our company comes into effect with an order placed by the customer via the Internet or in writing, and its acceptance by
Sciola Import SARL. The order confirmation by Sciola Import SARL is binding for delivery. The contract between the business customer and our
company comes into force by an order placed by telephone, e-mail, fax or Internet, and its acceptance by Sciola Import SARL in the form
of a delivery or order confirmation.
3. Product features
All information provided to customers concerning products during the ordering process is for guidance only, subject
in particular to design or technical modifications to improve product functionality, as well as to possible errors in
description or illustration. For manufacturing reasons, there may be slight differences in LED performance (brightness, color temperature
, design, PPF, μmol/J, luminous efficacy) for the same product. As long as these performance differences do not exceed 12%,
the customer undertakes not to make any claims. Loss of brightness is inherent to LED technology and function temperature: all
LED chips undergo a gradual decrease in brightness over time. The customer undertakes not to make any claims in this respect.
4. Prices
We reserve the right to modify our prices at any time up to delivery of the goods. Public prices are in Swiss francs, VAT
8.1 %. Prices for resellers and professionals are available on request. Transport, packaging and signature fees
are charged extra. Customs clearance and costs are the responsibility of the European customer.
5. Terms of payment
For orders placed via our online store, goods must be paid for in advance by credit card or
bank transfer. Resellers and professionals may also place orders by e-mail and pay the invoice in advance (opening of
account subject to acceptance and unilateral credit limit). We retain ownership of the goods until full payment
6. Delivery
All confirmed orders are valid for delivery. We make every effort to meet the delivery times indicated on the confirmation, but
depend on carriers and component manufacturers. We cannot formally commit ourselves and are authorized to make partial or late deliveries
. A delay in delivery does not entitle the customer to withdraw from the contract or to claim compensation, damages
and interest, loss of business... We reserve the right to withdraw from the contract if we are unable to obtain supplies from our
suppliers, or only under difficult conditions. In this case, we are obliged to inform the customer immediately and to reimburse
any advance payment. No compensation is possible in the event of cancellation or delay on our part.
7. Right of ownership
The goods delivered remain our property until full payment has been received. In the event of late payment by the customer, Sciola Import SARL is
entitled to rescind the contract and to take back the goods in the possession of the customer or our dealer's customer, or to retain production. The
disassembly and repackaging for return are at the customer's expense.Any deposit paid will be forfeited.
8. Complaint/exchange
Delivery errors as well as apparent defects must be reported to Sciola Import SARL within five (5) working days of
receipt of goods. Any damage incurred during transport must be reported immediately by the customer to the transport company and
sciola import SARL. Any return of goods will only be accepted with the prior agreement of Sciola Import SARL, in its original packaging, with
all accessories and a copy of the invoice. In the event of a fault on the part of the customer or carrier, the cost of returning the goods shall be borne by the customer. Any return of
goods not based on a defect, a difference in quantity or a fault covered by the warranty will not be accepted.
9. Warranty of goods and liability
Products carry a 24-month warranty from the date of purchase, unless otherwise stated on the invoice.
UV products carry a 12-month warranty. Certain LED luminaire ranges come with an extended warranty of 1 to 5 years, according to
the following conditions: LED extended warranty conditions. Standard warranty period: 2 years from date of delivery (unless
otherwise specified in the sales contract). The product must be installed by a qualified electrician and used in accordance with Sciola Import
SARL instructions. In the event of a defect or malfunction, the customer must inform Sciola Import SARL in writing within 30 days of discovery of the
defect, provide proof of purchase (invoice) and comply with the warranty procedure. Sciola Import SARL may ask the customer to provide
evidence (photos, videos, installation conditions, electrician's invoice, etc.) or to return the defective product or the
parts concerned for analysis. In the event of a defect attributable to the customer or his installer, delivery, customs and repair costs shall be borne by the
customer. Sciola Import SARL will respond within 7 working days of receiving sufficient information about the fault. Products or
parts may be repaired or replaced, at Sciola Import SARL's discretion, using new, refurbished or reconditioned components offering
equivalent performance and identical or different design. Products in and out of warranty will be sent to the customer, who will replace them himself
at his own expense. Repaired or replaced products are guaranteed for the remaining duration of the original warranty. Products are
dispatched within 5 days, subject to stock availability. In the event of a defect under warranty or out of warranty, it may be necessary
to wait for the reproduction of the components, i.e. approximately 60 days. We advise our customers to order spare parts if they are at risk
of business interruption, and to take out insurance. Labour, installation and dismantling costs are not covered by the
warranty. Excluded or partially covered cases: Maintenance costs may be charged if damage results from the following situations:
Warranty expired / inappropriate installation, use or repair / Damage caused by force majeure (war, riots, sabotage,
cyclone, earthquake, tidal wave, flood, lightning, explosion, fire, etc.). The guarantee does not apply in the following cases

. Concealed causes of defects (visible damage not reported). Products out of warranty but still functional: all warranty benefits
expire. Sciola Import SARL accepts no liability for any damage, irrespective of the type of product or its
light spectrum. Sciola Import SARL cannot be held responsible for indirect, consequential or immaterial losses resulting from the use of
its products or from a warranty case. Sciola Import SARL shall not be liable for any indirect, consequential or immaterial losses resulting from the use of its products or from a warranty claim (labor, loss of production or operation, loss of yield, interest, rental of aerial platform, fire,
loss of earnings, etc.). Components are guaranteed by the manufacturer. We recommend replacing any luminaire or part showing wear and tear at
on expiry of the warranty. Use beyond the warranty period is at the user's own risk and responsibility.
10. Effects on plants
Despite research carried out with Swiss centers and growers, it is not possible to guarantee yield rates, increases
in yield, concentrations of active ingredients, sugars or terpenes, or pathogen reduction. Twenty-six factors influence the final
results, regardless of lighting.
11. Data protection
Sciola Import SARL undertakes to comply with the provisions of Swiss legislation on the collection, processing and use of
personal data. Customer data collected during order processing is used exclusively for internal market analysis purposes and
is not passed on to third parties.
12. Jurisdiction and applicable law
These general terms and conditions and any contracts concluded on their basis are governed by Swiss law. The place of jurisdiction is Lausanne
(VD), Switzerland.
